Terms and Conditions

Effective Date: 10/21/2025
1. Agreement Overview
These Terms and Conditions ("Agreement") constitute a legally binding agreement between Grace Farnham Photography ("Photographer," "we," "us") and the client(s) ("Client," "you") for photography services. By signing a contract or paying a deposit, you acknowledge that you have read, understood, and agree to be bound by these terms.
2. Booking and Deposits
2.1 Booking Confirmation

Dates are reserved only upon receipt of a signed contract and required deposit
ALL DEPOSITS ARE NON-REFUNDABLE under any circumstances
Deposits are typically 30% of the total package price
The remaining balance is due 30 days before the event date

2.2 Deposit Terms

Deposits compensate the Photographer for reserving the date and declining other bookings
Non-refundable deposits apply regardless of cancellation reason, including:

Change of plans
Relationship changes
Venue issues
Weather concerns
Health emergencies
Force majeure events
Any other circumstances



3. Payment Terms
3.1 Payment Schedule

Deposit: Due upon booking to secure date
Final Payment: Due 30 days before event
Late payments may result in cancellation of services without refund of deposit

3.2 Payment Methods

Accepted methods: Cash, check, credit card, bank transfer
Returned checks incur a $50 fee
All prices are in USD

4. Travel and Delays
4.1 Travel Arrangements

Client is responsible for all travel costs outside of Wyoming/Montana
Travel fees include transportation, accommodation, and meals
Travel arrangements must be finalized 60 days before the event

4.2 Travel Delays and Force Majeure

Photographer is not liable for delays or non-performance due to:

Weather conditions affecting travel
Flight cancellations or delays
Road closures
Natural disasters
Government restrictions
Pandemic-related restrictions
Vehicle breakdown
Medical emergencies
Any circumstances beyond Photographer's reasonable control



4.3 Best Efforts

In case of travel delays, Photographer will make reasonable efforts to arrive, including:

Booking alternative flights/transportation
Arranging backup photographer if possible
Providing remote guidance to designated person with camera


If Photographer cannot attend due to circumstances beyond control, liability is limited to return of payments received (excluding deposit)

5. Cancellation and Rescheduling
5.1 Client Cancellation

Cancellations must be in writing
Deposit is non-refundable for all cancellations
Cancellation 90+ days before event: Deposit forfeited
Cancellation 30-89 days before event: 50% of total fee due
Cancellation less than 30 days before event: 100% of total fee due

5.2 Rescheduling

One rescheduling permitted subject to availability
Must be within 12 months of original date
Additional rescheduling incurs new deposit
Original deposit transfers to new date if rescheduled 90+ days in advance

5.3 Photographer Cancellation

In the unlikely event Photographer must cancel:

Every effort will be made to secure replacement photographer
If no replacement found, all payments (including deposit) will be refunded
Photographer's liability limited to amounts paid



6. Services and Deliverables
6.1 Photography Coverage

Coverage hours as specified in contract
Photographer's style is documentary/artistic
Specific shots requested will be attempted but not guaranteed
Photographer uses professional judgment for equipment, lighting, and techniques

6.2 Image Delivery

Sneak peeks: 48-72 hours after event
Full gallery: 6-8 weeks for weddings, 3-4 weeks for other sessions
Images delivered via password-protected online gallery
Number of images varies based on event and package

6.3 Post-Processing

Images are edited for color, exposure, and minor retouching
Photographer's artistic style and judgment apply to all editing
Extensive retouching available for additional fee

7. Image Rights and Usage
7.1 Copyright

Photographer retains all copyrights to images
Client receives personal use license
Commercial use requires additional licensing

7.2 Model Release

Client grants Photographer permission to use images for:

Portfolio
Website
Social media
Marketing materials
Contest submissions
Educational purposes


Client may request certain images be excluded from public use

7.3 Client Usage

Personal use includes prints, social media, personal websites
Client may not sell, license, or commercially distribute images
Editing or filters may not be applied without permission
Photographer credit required for online sharing when feasible

8. Liability Limitations
8.1 Liability Cap

Photographer's maximum liability is the amount paid by Client
No liability for indirect, consequential, or punitive damages

8.2 Circumstances Beyond Control

Not liable for images not captured due to:

Guest interference
Venue restrictions
Weather conditions
Equipment failure despite backup equipment
Memory card failure despite professional equipment
Client providing incorrect schedule/information



8.3 Professional Liability Insurance

Photographer maintains professional liability insurance
Certificates available upon request

9. Responsibilities
9.1 Client Responsibilities

Provide accurate event timeline
Secure necessary venue permissions
Inform guests of photography
Ensure safe working environment
Provide meals for events over 4 hours
Designate family photo coordinator

9.2 Photographer Responsibilities

Arrive on time and prepared
Bring backup equipment
Deliver services professionally
Maintain image backups until delivery
Communicate any issues promptly

10. Additional Terms
10.1 Exclusive Photographer

Photographer is the exclusive professional photographer for the event
Other vendors/guests may take photos but cannot interfere with Photographer's work

10.2 Safe Working Environment

Client ensures venues are safe for Photographer
Photographer may refuse dangerous requests
No harassment or inappropriate behavior tolerated

10.3 Artistic Style

Client has viewed Photographer's portfolio
Style is documentary/authentic
Photographer maintains creative control

10.4 Meals and Breaks

Hot meal required for events over 4 hours
20-minute break for events over 4 hours
Meal provided at same time as guests

11. Dispute Resolution
11.1 Governing Law

Agreement governed by Wyoming law
Disputes resolved in Wyoming courts

11.2 Mediation

Parties agree to attempt mediation before litigation
Mediation costs split equally

12. General Provisions
12.1 Entire Agreement

This Agreement and signed contract constitute entire agreement
Supersedes all prior agreements and understandings

12.2 Amendments

Changes must be in writing and signed by both parties

12.3 Severability

If any provision is invalid, remainder continues in effect

12.4 Assignment

Client may not assign rights without written consent
Photographer may assign to qualified replacement in emergencies

13. COVID-19 and Health Safety
13.1 Health Protocols

Parties will follow all applicable health guidelines
Photographer reserves right to maintain safe distance
Mask wearing at Photographer's discretion

13.2 COVID-Related Rescheduling

One COVID-related rescheduling permitted without penalty
Subject to Photographer's availability
Must be within 18 months of original date

14. Acknowledgment
By signing the contract or submitting payment, Client acknowledges:

Reading and understanding these Terms and Conditions
Agreeing to all terms including NON-REFUNDABLE DEPOSIT
Having authority to enter this Agreement
Understanding travel delays/issues are beyond Photographer's control
